Vietnam's tax system, regulations, and administrative divisions change frequently, so information here may have been updated since publication. For actual business decisions, please confirm the latest details with the relevant government authorities or local experts as primary sources.

Japan's largest retailer, AEON, has substantially boosted capital in its Vietnam business. Local media report that AEON Mall Vietnam raised its charter capital (vốn điều lệ) by VND 4.187 trillion, bringing the total to VND 27.943 trillion (about USD 1.16 billion, at an exchange rate of roughly USD 1 = VND 24,000). This is not a mere reallocation of capital but a clear statement of intent to commit long term to Vietnam as "the third core market after Japan and China." What stands out here is that this capital increase is not just a story for investors. A phase in which AEON is rapidly expanding its store network is a rare opportunity for Japanese food and general merchandise makers to get their own products onto new shelves. This article focuses narrowly on how Japanese companies considering or already pursuing entry into Vietnam can translate this capital increase into their own business deals.

Starting Point: Charter Capital Rises to About USD 1,160 Million

With this change, AEON Mall Vietnam's charter capital rose about 18% from the previous VND 23.756 trillion to VND 27.943 trillion (an increase of VND 4.187 trillion). The full amount consists of foreign capital, invested by the Japanese parent company. At the same time, Junichi Kobayashi joined as an authorized representative for capital management, bringing the number of representatives to five, with each managing roughly a 20% share of the investment. More important than the amount itself is the fact that the capital increases have come in succession rather than as a one-off. AEON had just added about USD 113 million in January 2026, and only a few months later added even more on top of that. At a time when many foreign investors are in a phase of withdrawal, AEON is going against the grain and continuing to pour in capital.

Background: From an 8-Mall Structure to a "Triple the Scale" Plan

AEON currently operates eight malls in Vietnam. Following AEON Tan An, its first store in the Mekong Delta, which opened in September 2025, AEON Mall Thanh Hoa (Thanh Hoa Province) is set to open in the fourth quarter of 2026. In addition, in Dong Nai Province, the AEON Mall Tran Bien project — one of Vietnam's largest, at 10.1 hectares, eight stories, and an investment of VND 6 trillion (about USD 228.4 million) — is moving forward. AEON's stated goal is clear: to triple the number of malls, stores, and sales by 2030. Given a current annual growth rate of about 20%, achieving a threefold increase would require growth of around 40% per year. In other words, AEON is in a position where it must not only strengthen existing stores but also double the pace of new store openings itself. The capital increase is the fuel for that.

The Data: A Market Earning About VND 8.7 Billion a Day

Why bet this heavily? The numbers provide the answer. In AEON Mall's fiscal 2024 results, operating revenue from its Vietnam business reached about JPY 17.3 billion (about VND 2.987 trillion). Averaged out per day, that works out to about VND 8.7 billion in sales from the mall business alone. This scale has made Vietnam the third-largest revenue market in AEON Mall's overseas business, after Japan and China. Tailwinds such as a population of about 100 million, an expanding middle class, and urbanization are pushing Vietnam toward a position where it could eventually surpass the Japanese parent company in future growth.

Metric

Value

Notes

Capital increase amount

VND 418.7 billion

Equivalent to about USD 17.4 million

Charter capital after the increase

VND 27.943 trillion

About USD 1.16 billion

Number of malls in Vietnam

8 facilities

Thanh Hoa scheduled to open in Q4 2026

FY2024 Vietnam operating revenue

About JPY 17.3 billion

3rd overseas, after Japan and China

2030 target

Triple the current scale

Requires growth of around 40% per year

*Dollar conversions of dong-denominated amounts are estimates based on an assumed rate of USD 1 = about VND 24,000. Yen conversion figures are based on the original source material.

Reaction locally and in the industry

Among local retail industry figures, there is a notable view that this capital increase amounts to a "vote of confidence." As Vietnamese retail enters a phase of intensifying price competition, there is talk of the reassurance that comes from a major Japanese player committing for the long term. At the same time, some domestic wholesalers and manufacturers offer a more wary view, saying that "AEON's shelf standards are strict, and Japanese companies have an advantage in documentation and quality control." Some at Japanese suppliers see an opportunity in the simultaneous growth of AEON-affiliated general merchandise stores (GMS) attached to the malls, with a growing view that the simultaneous expansion of not just malls but also food supermarkets and specialty stores is becoming an entry point for new business.

Implications for Japanese Companies: Winning Shelf Space with One Action Per Company

The move Japanese food and general merchandise makers should make at this stage is not an abstract "market research" exercise. It is the concrete step of timing their products to AEON's new store openings. Beyond the malls themselves, AEON Vietnam has its own distribution network of 15 GMS stores, 45 small and mid-sized supermarkets, 182 convenience stores, and 29 specialty stores. What matters for Japanese manufacturers is that this existing channel clearly markets "Made in Japan, Japanese quality" as a selling point. The first targets should be Thanh Hoa, opening in Q4 2026, and Tran Bien, the largest of the malls. The six months before opening, when the shelf allocation for a new store is finalized, is the realistic window for proposing products such as Japanese dried vegetables, seasonings, confectionery, and daily necessities. If applying this to your own company, it is practical to move in the following order.

Present your company's Japan-sourced ingredients and OEM supply capabilities in a single-page document to the buyer contact at an AEON-affiliated GMS (the private-brand development department, including Topvalu).

Match the location of the new mall (Thanh Hoa in the north-central region, Tran Bien in the south) and propose 2 to 3 SKUs that can be handled through ambient-temperature distribution.

Rather than a single one-off sale, get products in through an event such as a Japan Fair, build a track record, and map out a plan to move them onto the regular shelf.

In Vietnam, exposure for Japanese food products is increasing alongside the expansion of Japanese-affiliated supermarkets. WinCommerce added a net 348 stores in rural areas As with this, at a stage when shelf space is expanding from cities to rural areas, products that also sell in rural areas — ones that keep well and whose unit price can be justified — tend to get through more easily.

Ripple Effects on the Market: Regional Dispersion and Supply Chain Reorganization

AEON's moves are not happening in isolation. In Bac Ninh Province, a northern industrial hub, AEON has broken ground on its ninth mall with an investment of about USD 150 million, and the center of gravity for store openings in both dining and retail is shifting from major cities to industrial provinces and regional cities. Groundbreaking for the New Bac Ninh Mall and KFC's Push into Regional Cities shows a structure in which consumption infrastructure is spreading to regional areas on multiple fronts at once. For Japanese manufacturers, this means the previous sequence of "build a track record in Ho Chi Minh City and Hanoi, then move to regional areas" is breaking down, and an environment where regional demand can be captured from the earliest stage of a store opening is taking shape. It is also worth noting that riding on AEON's logistics network can spare a company from having to bear the cost of distributing to regional areas on its own.

Practical Information: How to Make Contact

For concrete points of contact, three routes are realistic: (1) a direct approach to the procurement and private-brand development departments of AEON Mall Vietnam and AEON Vietnam, (2) business matching events through JETRO Ho Chi Minh City/Hanoi, and (3) meeting Japanese buyers at food trade shows in Vietnam (such as Vietfood & Beverage). In every case, the key is timing your proposal by working backward from the opening schedule. Given the pace of expansion suggested by the capital increase, the standard approach is to target new stores six months to a year out.

Summary: the next move

AEON's capital increase, at a scale of about JPY 170 billion, is not a topic to observe for Japanese companies — it is a signal to act. The next steps can be narrowed to three. First, set Thanh Hoa (opening Q4 2026) and Tran Bien, the largest of the malls, as targets. Second, narrow down to 2 to 3 Japanese SKUs that can be handled at ambient temperature and prepare a single-page proposal built around an event. Third, treat the entire distribution network — including AEON-affiliated GMS, specialty stores, and convenience stores — as a target for proposals. While the tailwind of this capital increase is blowing, the companies that move by working backward from the opening calendar will be the ones that win shelf space.

Sources

<a href="https://baomoi.com/khong-chi-la-tang-von-vi-sao-aeon-mall-chon-viet-nam-cho-khoan-dau-tu-ty-usd-c55505136.epi" target="_blank"
