TikTok Pte. Ltd. (headquartered in Singapore) announced on April 3, 2026 that it will invest a total of USD 125 million (about JPY 19 billion / about VND 3 trillion) in Ho Chi Minh City, establishing three local subsidiaries within the Vietnam International Financial Centre (VIFC-HCMC). These subsidiaries will specialize in logistics, digital payments, and digital commerce, and aim to begin operations within 2026.
The announcement came from the Ho Chi Minh City Department of Finance, and TikTok's Southeast Asia public policy director Chanida Klyphun said, "We hope city authorities will expedite licensing and create an environment where the new companies can start operating quickly." Ho Chi Minh City's Q1 2026 registered foreign direct investment (FDI) reached USD 2.9 billion, up about 220% year on year.
The three companies TikTok is setting up within VIFC-HCMC each have an independent business domain, while together taking on the role of internalizing TikTok Shop's value chain.

TikTok's monthly active user count in Vietnam is estimated at about 50 million, accounting for the majority of the social media user population. By setting up these three companies, TikTok is moving toward a "closed-loop" model that completes content, payments, logistics, and e-commerce within a single platform.
VIFC-HCMC is an international financial special zone that the Vietnamese government is developing as a national strategy, offering tax incentives, relaxed foreign investment rules, and flexible cross-border data rules. By placing its payments subsidiary here, TikTok is likely also eyeing the possibility of turning it into a cross-border payment processing hub spanning Southeast Asia.
Ho Chi Minh City has designated "high-tech and innovation-led industries, data centers, logistics, and green growth" as priority areas for attracting FDI, and TikTok's establishment of three companies falls under four of those areas (high-tech, innovation, logistics, and data). The city's full-year 2026 FDI target is USD 11 billion, meaning the TikTok project alone accounts for about 1.1% of that target.
Vietnam's social commerce market is expected to reach USD 21 billion in scale in 2026, with Shopee and TikTok Shop together accounting for an oligopoly of about 97% of GMV. By internalizing logistics and payments, TikTok appears to be structurally catching up with Shopee (which owns ShopeeXpress and SeaMoney under the Sea Group).
As a related development, TikTok Shop Vietnam's move to integrate its own logistics can also be understood as continuous with this establishment of three companies. By internalizing everything from warehousing to delivery, alongside the grocery war among super-apps, where ShopeeFood and GrabFood are fighting it out, a separate trifecta of commerce, logistics, and payments is coming together.
For Japanese manufacturers and brands doing e-commerce and social-media sales in Vietnam, once TikTok Shop's payments and logistics are internalized, a sales channel that completes entirely within TikTok — without going through outside logistics providers or payment processors — will be strengthened. Under the two-player structure of Shopee and TikTok Shop, the pool of users reachable only by listing on TikTok (especially younger and rural consumers) is expected to grow.
At the same time, once TikTok Payment goes into full operation, reliance on outside wallets such as Apple Pay, Google Pay, and MoMo will decrease. When Japanese companies list on TikTok Shop, they will need to redesign their payment fee structure, provisioning process, and sales settlement cycle. The Ho Chi Minh City Fintech Hub— together with this, Vietnam's payment infrastructure is entering a phase of rapid restructuring.
The USD 125 million figure is equivalent to about 4.3% of Ho Chi Minh City's total Q1 FDI of USD 2.9 billion. Among the top 10 major FDI projects approved by the city in that quarter, it ranks as one of the largest in the information and communication services sector.

TikTok has committed several billion dollars in investment across Southeast Asia as a whole, and Vietnam is positioned as a priority market second only to Indonesia. Setting up these three companies is the first phase of that, and the logistics subsidiary's processing capacity of 1-2 billion orders is on a scale that would absorb 30-50% of Vietnam's entire e-commerce market's estimated annual order volume of 3-4 billion.
